Terms of Use

1. Accepting these terms

Staff HQ is operated by Borrego Business Systems. By accessing or using Staff HQ, you agree to these terms and the Privacy Policy. If you use Staff HQ for an organization, you represent that you have authority to accept these terms for that organization. If you do not agree, do not use the service.

2. Eligibility and accounts

You must be at least 18 and legally able to enter a contract. You are responsible for accurate account information, protecting your sign-in methods, and all activity authorized through your account. Tell us promptly if you suspect unauthorized access.

Private beta access is invitation-only. An organization owner is responsible for deciding who may join its workspace and what authority each human or agent receives.

3. The Staff HQ service

Staff HQ coordinates AI agents, conversations, rooms, projects, Knowledge, voice dictation, and approved connections around user requests. Features may be unavailable, limited, or changed during the beta. A product description is not a promise that every feature is active for every account.

Connected-service access will be optional and limited to the account, scope, purpose, and approval boundaries shown to you when a connection is available. Two approved owner Gmail accounts and their review controls are active only in a bounded non-production acceptance environment. On-demand read-only review has been tested against both owner accounts, and customer connections are not active. Both current test connections are read-only. Optional Gmail reply proposals, governed Gmail drafts, and owned Calendar actions remain inactive. If later activated, drafts will require your review, Delete draft and Send will require separate confirmed human actions, and no email will be sent automatically. Calendar Create, Update, Move, and Cancel actions will require review of the exact event and a confirmed human action in the first release.

4. Acceptable use

You may not use Staff HQ to:

• Break the law, violate another person's rights, or facilitate harm.
• Access accounts, systems, or data without authorization.
• Upload malware or attempt to bypass security, limits, or approval gates.
• Misrepresent AI output as verified fact or professional advice.
• Use the service for surveillance, discriminatory decisions, or prohibited profiling.
• Resell access or copy the service except under a separate written agreement.

5. Your content and permissions

You retain ownership of content you provide. You grant Staff HQ a limited permission to host, process, transmit, and display that content only as needed to operate, secure, and improve the service for you. You represent that you have the rights and permissions needed to provide the content and connect any external account.

Do not enter passwords, private keys, access tokens, or other secrets into chats, Knowledge, labels, or connector-planning fields. Use only the approved credential flow when a live connection is available.

6. AI output and human review

AI output may be inaccurate, incomplete, outdated, or inappropriate for your situation. You are responsible for reviewing output and for decisions made from it. Approval gates reduce risk but do not replace your judgment.

Staff HQ does not provide legal, medical, tax, accounting, investment, or other regulated professional advice. Consult a qualified professional when your decision requires one. Do not use Staff HQ for emergency services or safety-critical control.

7. Third-party services

Staff HQ may interoperate with services such as identity providers, Google Workspace, hosting platforms, databases, and AI providers. Your use of a third-party service remains subject to that provider's terms. We are not responsible for third-party service changes, outages, or decisions, but we will use reasonable safeguards for the integrations we operate.

8. Beta service and availability

Staff HQ is provided on an as-available basis during the private beta. We may change, pause, limit, or discontinue a feature to protect users, comply with law, or improve the service. Keep independent copies of important records. We do not promise uninterrupted operation or that every error will be corrected.

9. Suspension and termination

You may stop using Staff HQ at any time. We may suspend or terminate access for a material breach, security risk, unlawful use, nonpayment under a future paid agreement, or conduct that could harm users or the service. When practical, we will provide notice and a reasonable opportunity to address the issue.

10. Disclaimers and limits

To the extent permitted by law, Staff HQ is provided without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant the accuracy of AI output or third-party information.

To the extent permitted by law, Staff HQ and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from the service. Some jurisdictions do not allow certain exclusions, so these limits may not apply to you.

11. Changes to these terms

We may update these terms as the product changes. We will post the new effective date and provide additional notice for material changes. Continued use after the effective date means you accept the updated terms, unless applicable law requires another form of consent.
